Starting a business in Germany involves several institutions with different responsibilities. The trade registration office (Gewerbeamt) receives your trade notification, the tax office (Finanzamt) registers your business for tax purposes, and IHK and HWK carry out statutory functions on behalf of their business communities. One registration does not automatically fulfil every other obligation. This guide explains whom to contact about each issue.

The four institutions at a glance

  • Gewerbeamt: The municipal office for registering, changing or deregistering a trade. It may also be called the Gewerbebehörde or form part of the Ordnungsamt, the public order office.
  • Finanzamt: Handles tax registration, tax numbers (Steuernummer), tax returns, assessments and advance tax payments.
  • IHK – Chamber of Commerce and Industry: Represents the commercial economy, particularly commerce, industry and many service businesses; also provides start-up advice and carries out vocational training and examination functions.
  • HWK – Chamber of Crafts: Represents the skilled trades; responsibilities include the register of regulated craft businesses (Handwerksrolle), other craft registers, advice, training and examinations.

IHK and HWK are public-law bodies, rather than private consultancies or merely voluntary trade associations. Their advice cannot replace tax office decisions or required permits. Their statutory responsibilities are set out in § 1 IHKG and § 91 HwO.

Gewerbeamt: notify your activity and check permits separately

You must notify the competent authority at your business location when you start a fixed-location trade. Describe the services or goods you actually offer. Certain changes, relocation and closure must also be reported. The legal basis is § 14 GewO.

Ask your municipality about documents and fees. Typically, you need proof of identity, your business address and a description of your activity. Depending on your legal form and activity, register documents, a power of attorney or proof of permits may also be needed.

The document commonly called the Gewerbeschein confirms receipt of your notification. It is not a general operating licence, a tax number or an entry in the commercial register. Additional requirements for activities requiring permits or regulated craft trades must be met before operating; see § 15 GewO.

An activity classified exclusively as a liberal profession (freiberufliche Tätigkeit), such as qualifying translation work, generally requires no trade registration. Tax registration remains necessary. You cannot simply choose whether to be classified as a liberal professional or a commercial business. The actual work and statutory conditions determine the tax classification, particularly under § 18 EStG.

Finanzamt: submit your tax registration yourself

The Gewerbeamt forwards information. You must nevertheless normally submit the tax registration questionnaire electronically within one month of starting your activity, usually through ELSTER. Do not wait for a letter. This also applies to liberal professionals, who notify the Finanzamt directly. See § 138 AO and the start-up guidance from ELSTER.

Prepare details of your activity, legal form, start date and bank account, plus realistic turnover and profit estimates. Turnover is not profit: profit takes business expenses into account. The questionnaire also covers VAT treatment. The German VAT exemption scheme for small businesses (Kleinunternehmerregelung) concerns VAT; it does not automatically remove trade registration or chamber membership obligations.

The Finanzamt handles tax registration, returns and assessments. Your business Steuernummer differs from your personal Steuer-ID. The USt-IdNr. is a separate VAT identification number issued by the Federal Central Tax Office; see § 27a UStG.

Trade tax involves two authorities: the Finanzamt determines the basic tax amount, and the municipality applies its multiplier to assess trade tax. A municipal trade tax assessment is therefore different from an IHK or HWK membership contribution. See § 14 GewStG and § 16 GewStG.

IHK: statutory membership, advice and vocational training

Many commercial businesses belong to their local IHK by law. Membership depends on factors including activity, business location and legal form. You cannot simply choose the chamber with the lowest contribution. § 2 IHKG sets out the rules and exceptions.

The IHK provides start-up guidance and carries out vocational training and examination functions. It does not keep your accounts or give general approval to every business model.

Membership and the obligation to pay contributions are separate questions. Statutory exemptions and start-up relief may apply, depending on legal form, register entry, trade earnings or profit and previous self-employment. The Kleinunternehmerregelung alone does not exempt you from IHK contributions. Check your assessment and your chamber's current contribution rules; see § 3 IHKG.

HWK: distinguish the Handwerksrolle from other registers

The precise work you carry out determines the craft classification. Clarify this with your local HWK before starting, particularly if you offer several services.

  • Regulated craft trades, Anlage A: Operating independently as a fixed-location business generally requires entry in the Handwerksrolle. Examples include electrical installation trades and hairdressing.
  • Craft trades not requiring this authorisation, Anlage B, section 1: A master craftsperson qualification is generally not required for entry. However, notification and registration with the HWK remain necessary. Building cleaning is an example.
  • Craft-like trades, Anlage B, section 2: These also have a corresponding register and notification obligation; clothing alterations are an example.

See § 1 HwO, § 18 HwO, Anlage A and Anlage B. The Handwerksrolle is different from the register for non-regulated craft trades and craft-like businesses.

A master craftsperson qualification (Meisterabschluss) is a common route into the Handwerksrolle, but it is not the only one. Other statutory qualifications, authorisations to practise or exemptions may qualify. A suitably qualified technical manager can meet the requirement; not every owner must personally hold a Meisterbrief. The HWK checks the applicable route under § 7 HwO.

HWK contributions and start-up relief have their own rules. Do not assume that an IHK exemption also applies to the HWK. See § 113 HwO and your chamber's contribution rules.

Three practical examples

Online retail: Selling goods is normally a commercial activity requiring trade registration, tax registration and usually IHK membership. Product-specific rules must also be checked.

Building cleaning: This is a craft trade not requiring a master craftsperson qualification. Alongside trade and tax registration, clarify notification to the HWK and entry in the appropriate register. “No Meister required” does not mean “no HWK”.

Hair salon with an additional retail business: Hairdressing falls under Anlage A. A separate non-craft business activity may also create IHK membership alongside the HWK. Occasional product sales do not automatically mean two full contributions. Ask both chambers to clarify the activities, scale and allocation of contributions.

In what order should you proceed?

  1. Before starting: Define your activities and legal form. Clarify liberal-profession status, craft classification and required permits. Arrange qualification documents and any necessary Handwerksrolle entry in good time.
  2. Check residence rights beforehand where relevant: EU and EEA nationals generally need no residence permit for self-employment; special freedom-of-movement rules apply to Swiss nationals. For third-country nationals, the existing residence title must permit self-employment, or the required permission must be obtained before starting. Permission for employment does not automatically permit self-employment. In Germany, contact the competent immigration authority; for a visa, contact the German diplomatic mission abroad. See Make it in Germany.
  3. When starting the trade: Submit the trade notification and keep the receipt. Take responsibility for any necessary HWK notifications and entries.
  4. Within one month: Submit the tax registration questionnaire and retain the transmission confirmation.
  5. Afterwards and regularly: Check chamber classification, assessments, contributions and deadlines. Also arrange health insurance, accident insurance and employer notifications if you hire staff. These four institutions do not cover every start-up obligation.

Frequently asked questions

Can I choose between IHK and HWK?

No. Statutory conditions and your actual activities determine membership. Both may be responsible for a mixed business. Describe all your services and ask the chambers to clarify uncertain cases.

Is trade registration enough for the Finanzamt?

No. Information sharing generally does not replace the tax registration questionnaire. You must submit it on time yourself, even if no authority has written to you.

Is my business automatically invalid without trade registration?

No. A missing trade notification does not automatically invalidate the business, contracts or invoices. It may, however, be an administrative offence. Submit a missed notification promptly. Missing professional authorisations, prohibited activities or undeclared work must be assessed separately. The provision on fines is § 146 GewO.

Does this also apply to a side business or low turnover?

Generally, yes. A small scale does not automatically remove registration duties or craft-law requirements. Tax relief and chamber contribution exemptions each have their own conditions.
